Understanding Offer Negotiation

Executive offer negotiation is a delicate process that can determine whether a successful search ends in a placement or a failed close. Key negotiation elements include base salary, bonus structure and targets, equity grants and vesting terms, sign-on bonus (to offset forfeited compensation), relocation assistance, severance provisions, non-compete terms, start date, title, reporting structure, and perquisites. Executive search firms play a critical mediating role in offer negotiations — they understand both parties' positions, manage expectations, and help bridge gaps without creating adversarial dynamics. Effective recruiters prepare both sides: ensuring the client's offer is competitive based on market data and coaching the candidate on what is negotiable and what is firm.
